Please read these terms carefully before joining or promoting Cherry Blossoms. By participating in the Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
01Eligibility
To become an affiliate, you must submit an accurate and complete application through our website. The Cherry Blossoms Affiliate Program is intended for businesses, organizations, websites, publishers, marketing companies, media companies, content platforms, and other qualified entities or operators that have the ability to actively promote Cherry Blossoms and refer prospective members.
Individual applicants may be considered only if they operate a legitimate promotional platform, business, website, social media presence, or other established marketing channel capable of generating member referrals. Individuals must be at least 18 years of age, or the age of majority in their jurisdiction.
Cherry Blossoms may accept or reject any application in good faith and may terminate participation if an affiliate is determined to be unsuitable for the Program or is not actively engaged in legitimate promotional or referral activities.
Affiliate websites, platforms, advertisements, and promotional content must remain lawful, functional, professional, and free of obscene, hateful, threatening, defamatory, discriminatory, infringing, fraudulent, misleading, or otherwise objectionable material. Spamming, indiscriminate advertising, unsolicited commercial email, hacking, deceptive marketing practices, and any other unauthorized or unlawful promotional activity are strictly prohibited.
02Enrollment in the Program
Enrollment begins when you submit a completed Affiliate Network Application. We will notify you by email of acceptance. Continued participation depends on ongoing compliance with this Agreement and any review of your sites or promotional methods.
03Links & promotional methods
Links include approved banners, button links, text links, and other graphics or devices supplied by Cherry Blossoms. Affiliates may not alter, modify, expand, or misrepresent approved Links. Cherry Blossoms may approve, prohibit, replace, or require removal of any Link at any time.
Links may not be placed in unsolicited email, spam, newsgroups, message boards, chat rooms, guest books, or other prohibited locations. Transactions must be bona fide and generated by a real visitor; spyware, forced clicks, hidden frames, automated scripts, fake redirects, incentives, and fraudulent methods are prohibited.
04Affiliate obligations
Affiliates are responsible for the development, operation, maintenance, and content of their sites and promotional channels. Account and contact information must remain accurate and current. Affiliates must use ethical and legal business practices, maintain a clear privacy policy, disclose tracking technology and cookies, and obtain permission for third-party material.
Cherry Blossoms must approve promotional activities. Suspected fraudulent, abusive, misleading, or illegal activity may result in immediate termination and deactivation of the affiliate account.
05Payout
Commission is paid on eligible first-time membership sales generated through an approved affiliate link.
Referral fees are paid in U.S. dollars by ACH payment. Standard affiliate commissions are paid monthly, no later than the 15th day of the following month. The minimum commission payment is $50.00; balances below $50.00 will be carried forward until the minimum payment threshold is reached.
For the current Program, affiliates earn 50% of eligible first-time subscription revenue, up to $124.95 per order. No commission is paid on rebilling, upgrades, repeat sales, refunded transactions, chargebacks, or other ineligible transactions.
Referral fees associated with annual and lifetime memberships are paid bi-monthly in accordance with the Company's payment schedule.
06Fraud & chargebacks
Cherry Blossoms actively monitors traffic for fraud. Accounts may be flagged for unexplained conversion rates, unsustainable lead volume, incentives, lead sources outside the intended visitor action, fake redirects, false advertising, automated software, or other artificial mechanisms. Fraudulent leads or sales may be forfeited and the account terminated.
If a paid membership is later refunded or charged back, the corresponding commission may be deducted from future payouts or billed to the affiliate.
07Proprietary rights
Affiliates receive no ownership of Cherry Blossoms trademarks, service marks, trade names, URLs, copyrighted materials, or other intellectual property. Use of brand assets is limited to the permissions in this Agreement and applicable site Terms of Use. Affiliates may not register confusingly similar marks, bid on protected brand terms, or portray Cherry Blossoms in a misleading or disparaging manner.
08Confidentiality
Each party may receive confidential or proprietary information from the other. The receiving party must use commercially reasonable efforts to protect that information. Confidentiality obligations continue after termination where necessary to preserve accrued rights and protect proprietary information.
09Term, termination & deactivation
This Agreement begins upon acceptance and continues until terminated by either party. Either party may terminate by email notice. Cherry Blossoms may terminate or deactivate an account for breach, inactivity, tracking interference, intellectual-property disputes, or other conduct described in this Agreement. Upon termination, affiliates must immediately remove Links and brand assets. Outstanding eligible payouts are paid within 90 days.
10Representations, warranties & limitations
Each party will make reasonable commercial efforts to keep its website operational, but neither party guarantees uninterrupted or error-free service. Affiliates represent that they have authority to enter this Agreement, are at least 18 where applicable, comply with relevant laws, and will not infringe third-party rights.
Cherry Blossoms is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Any liability under this Agreement is limited to payouts paid to the affiliate during the preceding year.
11Indemnification
Affiliates agree to defend, indemnify, and hold Cherry Blossoms harmless from claims, losses, liabilities, penalties, settlements, judgments, costs, and reasonable attorneys' fees arising from an affiliate's breach, unlawful conduct, promotional methods, services, content, or infringement of another party's rights.
12Miscellaneous
All rights not expressly granted are reserved. Notices may be delivered personally, by email or confirmed fax, by recognized courier, or by certified mail. No waiver is effective unless written and signed. If a provision is held invalid or unenforceable, the remaining provisions continue in full force and the invalid provision will be adjusted to best preserve its intended economic effect.
